1. Relationship between Green Impact Partners and you
1.1 Green Impact Partners Ltd. & Green Impact Academy (Chinese name Sanshengwuwu Co., Ltd. and Green Impact Academy, hereinafter referred to as Green Impact Partners) provide related products, platforms, and website services in accordance with this Terms of Service (the “Terms”). When you use the services provided by Green Impact Partners, it means that you have read, understood and agreed to accept this Terms of Service. Green Impact Partners is entitled to modify or change the contents of this Terms at any time, and you are advised to pay attention to such modifications or changes at any time. When you continue to use the services provided by Green Impact Partners after any modification or change, you will be deemed to have read, understood and agreed to accept such modification or change.
1.2 You have to use Green Impact Partners products, software, services and websites and knowledge products purchased from Green Impact Partners (collectively referred to as "Services" in this Terms, excluding any services provided to you by Green Impact Partners under separate written agreements) in accordance with the terms and conditions of any legal agreement between you and Green Impact Partners.
1.3 This Terms of Service shall legally bind you and Green Impact Partners regarding your use of the Services. You have to read the terms carefully.
1.4 Your membership registration and other specific information are protected and regulated in accordance with Green Impact Partners' Privacy Policy.
2. Accept
2.1 Before using the Services, you have to read and agree to this Terms in advance. If you do not accept this Terms, you may not use the Services.
2.2 You can accept this Terms in one of the following ways:
(1) If Green Impact Partners provides an option on the user interface of any service allowing you to choose to accept or agree to this Terms, you have to accept this Terms by clicking on that option; or
(2) You may accept this Terms by actually using the Services. You acknowledge and agree that your actual use of the Services will be deemed to be your agreement to accept this Terms at the moment.
2.3 When using Green Impact Partners services, you also have to comply with the following matters:
(1) Provide your correct, latest and complete information as prompted by the service registration form.
(2) Maintain and update your personal information to ensure it is correct, up-to-date and complete. If you provide any incorrect or untrue information, Green Impact Partners is entitled to suspend or terminate your account and refuse you to use all or part of this Service.
3. Language of this Terms
3.1 If Green Impact Partners provides you with a translation of the English version of this Terms, you acknowledge and agree that the translation is for your convenience to read only, and your relationship with Green Impact Partners will still be governed by the original Chinese version of this Terms.
3.2 If there is a conflict between the traditional Chinese version of this Terms and the translation of English version, the traditional Chinese version shall prevail.
4. Services provided by Green Impact Partners
4.1 Green Impact Partners continues to innovate to provide the best experience to its users. You acknowledge and agree that the form and nature of Services provided by Green Impact Partners may change at any time without prior notice to you.
4.2 You acknowledge and agree that, in accordance with the policy of continuous innovation, Green Impact Partners may, at its sole discretion, decide (permanently or temporarily) to cease providing Services to you or all users without prior notice to you and you must stop using the Service at any time. You do not need to specifically notify Green Impact Partners when you stop using the Services.
4.3 You acknowledge and agree that if Green Impact Partners disqualifies you from using your account, you may not be able to access the Services or your account information or any files or other content contained in your account.
4.4 You acknowledge and agree that Green Impact Partners does not currently set a limitation on the number of transmissions you may send or receive through the Service or the storage space used to provide any Service, but that Green Impact Partners may set such limitations at any time in its sole discretion.
5. Your use of the service
5.1 In order to obtain certain services, you may be asked to provide personal information about you (such as name, identity or other contact information, including but not limited to phone number, email, address, social media account, and other Green Impact Partners Information provided by you or collected by Green Impact Partners to provide you with Services), as part of the service registration process, or as part of your ongoing use of the Services. You agree that any registration information provided to Green Impact Partners will be accurate, correct and up-to-date.
5.2 You agree to use the Service only for the purposes permitted by: (1) thiis Terms, and (2) any applicable laws, regulations or generally accepted practices or standards in relevant jurisdictions (including with respect to information in the Republic of China (R.O.C.) or any import and export laws of other relevant countries).
5.3 You agree not to obtain (or attempt to obtain) any services by any means other than through the interface provided by Green Impact Partners, unless you have been specifically permitted to do so in accordance with an agreement made by you and Green Impact Partners.
5.4 You agree not to engage in any activity that interferes with or damages the Service (or servers and networks connected to the Service).
5.5 Unless you are specifically permitted to do so under an agreement made by you and Green Impact Partners, you agree not to reproduce, duplicate, copy, sell, trade or resell the Services for any purpose.
5.6 You agree that you are solely responsible for your breach of your obligations under this Terms and the consequences thereof, including any loss or damage suffered by Green Impact Partners, and Green Impact Partners is not responsible to you or any third party for the said breach made by you.
6. Security of your password and account
6.1 You agree and understand that you are responsible for keeping the password related to any account you use to obtain Service in confidence.
6.2 Accordingly, you agree that you must take full responsibility for all activities under your account.
6.3 You agree and understand that after each connection, you have to log out to the end of the use of your account to prevent the account password from being leaked or stolen by any third party.
6.4 If you realize that your password or account has been used by any third party without your authorization, you agree to immediately notify Green Impact Partners or email to the designated service mailbox.
7. Privacy and your personal information
7.1 Regarding the Green Impact Partners’ information protection rules, please refer to Green Impact Partners’ Privacy Policy on the website. This policy explains how Green Impact Partners handles your personal information and protects your information when you use the Services.
7.2 You agree that Green Impact Partners may use your information in accordance with the Privacy Policy.
8. Service content
8.1 The creator is solely responsible for any information you obtain by using the Service (including but not limited to data files, documentation, computer software, music, audio and video files or other sounds, pictures, videos or other images, all such information is hereinafter referred to as "Content"), and Green Impact Partners has no responsibility and involvement.
8.2 You have to be aware that the intellectual property rights of the Content displayed on the Service, including but not limited to advertising and sponsored content in the Service, are protected by applicable laws. Unless otherwise specifically permitted by an agreement made by Green Impact Partners or the owner of the relevant content, you shall not modify, rent, lease, loan, sell or distribute all or part of the content, nor shall you create derivative works based on all or part of the content or use this to promote any product.
8.3 Green Impact Partners has the right but has no obligations to preview, review, flag, filter, modify, refuse or remove any or all Content from any Service.
8.4 You understand that when you use the Service, you may be exposed to content that you find offensive, vulgar or objectionable, so the risks associated with your use of the service are entirely at your own risk.
8.5 You agree that you are solely responsible for any content you create, transmit or display when using the Services and the consequences of your actions, including any loss or damage that Green Impact Partners may suffer. Green Impact Partners will not be responsible to you or any third party for any content you create, transmit or display.
9. Exclusive Rights
9.1 You acknowledge and agree that Green Impact Partners or Green Impact Partners' licensors have the ownership and all other legal rights or interests in the Services, including any intellectual property rights existing in the Services (whether such rights have been registered or not). You also acknowledge that the Services may include the information designated as confidential by Green Impact Partners and that you shall not disclose such information without the prior written consent of Green Impact Partners.
9.2 Unless otherwise a written agreement made by you and Green Impact Partners, nothing in this Terms will not grant you the right to use any trade names, trademarks, service marks, logos, regional names and other distinctive brand features of Green Impact Partners, nor does it in any way conflict with yours. Green Impact Partners enters into any collaboration, partnership or other similar relationship. You are also not allowed to represent or act as an agent for Green Impact Partners in any way or form, whether express or implied, nor as a partner of "Green Academy" nor other similar relationships.
9.3 You agree that you shall not delete, hide or change any exclusive rights statement (including copyright and/or trademark statements) accompanying or included in the Service.
9.4 Unless otherwise expressly authorized in writing by Green Impact Partners, you agree that when using the Service, you shall not use the trademark, service mark, trade name or logo of any company or organization in a manner that may or intentionally causes others to misrepresent such marks resulted from any confusion about the owner or authorized user of the seal, name or logo.
10. Authorization from Green Impact Partners
10.1 When Green Impact Partners provides you with Services, it also grants you a personal, global, free, non-transferable, non-exclusive right to use the software provided to you by Green Impact Partners through the Services (hereinafter referred to as " software"). The sole purpose of this authorization is for you to use and enjoy the benefits of the Services provided by Green Impact Partners in the manner permitted by this Terms.
10.2 Unless otherwise expressly permitted or stipulated by law, or permitted in writing by Green Impact Partners, you may not, or allow others to copy or modify the Software or any part of the Software, or create derivative works or perform any modification of the Software or any part of the Software. You are not allowed to reverse engineer, de-edit or otherwise attempt to extract the source code from the Software or any part of the Software.
10.3 Unless otherwise expressly permitted by Green Impact Partners in writing, you shall not transfer or sublicense your right to use the Software, nor shall you provide a security interest in your right to use the Software, or otherwise transfer your right to use the Software. any part of your rights to use the Software.
11. Your authorization of content
11.1 You own the copyright and any other rights you already own in relation to the content you submit, post or display on or through the Service. By submitting, posting or displaying the content, you grant Green Impact Partners a perpetual, irrevocable, worldwide, royalty-free and non-exclusive right to reproduce, adapt, modify, translate, publish, publicly perform, publicly display and distribute any content you submit, post or display on or through the Services. Such authorization is for the sole purpose of Green Impact Partners displaying, distributing and promoting the Services, and may be revoked for certain services in accordance with the additional terms of service.
11.2 You agree that the mentioned license includes the right for Green Impact Partners to provide such content to other companies, organizations or individuals that have a relationship with Green Impact Partners due to the provision of joint services, and the right to use the content in connection with the provision of the joint services.
11.3 You understand that when Green Impact Partners implements the necessary technical measures to provide Services to users, it may (1) transmit or distribute your content on different public networks and different media; (2) make necessary changes to your content so that the content meets and adapts to the technical requirements of the connecting network, device, service or media. You agree that you grant Green Impact Partners the right to take the actions described above.
11.4 You confirm and warrant to Green Impact Partners that you have all necessary rights to make the above authorization.
12. Software updates
12.1 The software you use may automatically download and install updated versions from Green Impact Partners at any time. These updated versions are intended to improve, enhance and further develop the Services and may take the form of bug fixes, enhanced functionality, new software modules and entirely new versions. By using the Services, you agree to accept such updated versions and allow Green Impact Partners to deliver to you.
13. Termination of your relationship with Green Impact Partners
13.1 This Terms will continue in valid until any termination made by you or Green Impact Partners in accordance with the provision specified below.
13.2 If you intend to terminate the legal agreement between you and Green Impact Partners, you may notify Green Impact Partners at any time, or if Green Impact Partners provides you with the option to close all your service accounts , you may terminate such legal agreement by closing such accounts.
13.3 Green Impact Partners may terminate its legal agreement with you at any time when any of the following circumstances occurs:
(1) You violate any provision of this Terms or your behavior clearly shows that you have no intention or inability to comply with the provisions of this Terms;
(2) Green Impact Partners is required by law to terminate such legal agreement if Services provided to you is illegal or becomes illegal;
(3) The partner, that provides services to you together with Green Impact Partners, has terminated its relationship between such partner and Green Impact Partners or stopped providing services to you;
(4) Green Impact Partners adjusts the scope of Services and will not provide Services to users in the country where you live or use the services;
(5) Green Impact Partners considers that it is no longer commercially viable for Green Impact Partners to provide Services to you;
(6) Green Impact Partners will have necessary maintenance and construction of electronic communication equipment on the Green Impact Partners website, or any force majeure, such as natural disasters, occurs.
13.4 Any provision of this Article 13 shall not affect Green Impact Partners’ rights to provide Services in accordance with Article 4 of this Terms.
13.5 When this Terms is terminated, all legal rights, obligations and liabilities that you and Green Impact Partners have had, assumed or arose during the term of this Terms, or is expressly provided to continue indefinitely, will not be affected by such termination. The provisions of Article 20.7 shall continue in valid and apply to such rights, obligations and liabilities indefinitely.
14. Exclusions of Warranty
14.1 Nothing in this Terms, including the Article 14 and 15, shall exclude or limit Green Impact Partners’ warranty or liability for losses that may not be excluded or limited under applicable law. Therefore, only the restrictions that are lawful in your country shall apply to you, and Green Impact Partners’ liability shall be limited to the extent permitted by law.
14.2 You expressly understand and agree that your use of the Services is at your own risk and that the Services are provided on an "as is" basis.
14.3 Green Impact Partners and its licensors make no representations or warranties to you regarding the following matters:
(1) Your use of the Service will meet your needs;
(2) The information from Green Impact Partners obtained by your use of the Service is true and not suspected of fraud; and
(3) Any operational or functional defects in any software provided to you in connection with the Service will be corrected.
14.4 Downloading or otherwise obtaining information through the use of the Service is an act of your own discretion, and the relevant risks are borne by you. If there is any loss or damage to your computer system or other devices due to your downloading or uploading information, you are solely responsible for such loss or damage.
14.5 No advice or information, whether oral or written, obtained by you from Green Impact Partners or through or from the Services shall create any warranty not expressly stated in this Terms.
14.6 Green Impact Partners further expressly states that it does not provide any express or implied warranties and conditions, including (but not limited to) merchantability, profitability, fitness for a particular purpose, and non-infringement.
15. Limitation of Liability
15.1 Provided that the Article 14.1 above is fully met, you expressly understand and agree that Green Impact Partners and its licensors are not responsible to you for the following matters:
(1) Any direct, indirect, incidental, special, consequential or punitive damages suffered by you regardless of the cause and under any theory of liability, including (but not limited to) any direct or indirect damages loss of profits, any loss of goodwill or business reputation, any loss of data, the cost of purchasing substitute goods or services, or other intangible losses;
(2) Any mentioned loss or damage you may suffer are caused by including (but not limited to) the following reasons: your trust in the completeness, accuracy or existence of any advertisement, or you and its advertisement appearing on the Service any relationships or transactions between any advertisers or sponsors; any changes that Green Impact Partners may make to the Services, or any changes that Green Impact Partners may make to the Services to permanently or temporarily suspend or discontinue the Services (or any features within the Services); any changes, deletion, destruction or failure to store any content and other communications maintained or transmitted through your use of the Services; Green Impact Partners' service provides a platform for business information and matching, and any changes you make on the platform; there is no guarantee for the buying and selling, reservation and trading behavior; you do not provided accurate account information to Green Impact Partners; you do not keep your password or account information safe and confidential;
15.2 The limitation of liability set forth in Article 15.1 applies to Green Impact Partners whether Green Impact Partners has been notified or should have known of the possibility of a loss.
16. Copyright and Trademark Policy
16.1 According to Green Impact Partners’ policy, when Green Impact Partners receives a notice of copyright infringement in accordance with relevant intellectual property laws, it will respond and will stop providing the Services to the infringer.
17. Advertising
17.1 Part of the Services is supported by advertising revenue and may display the content of advertisement and promotion. Such advertisements may be made through the content of information stored in the Service, inquiries made through the Service, or other information.
17.2 The manner, mode and scope of advertisement made by Green Impact Partners for the Service may be changed without special notice to you.
17.3 You agree that Green Impact Partners may place advertisements on the Services as consideration for Green Impact Partners granting you the right to obtain and use the Services.
18. Others
18.1 The Services may contain hyperlinks to other websites, content or resources. Green Impact Partners may not control any websites or resources provided by companies or individuals other than Green Impact Partners.
18.2 You acknowledge and agree that Green Impact Partners is not responsible for the availability of such external websites or resources and does not endorse any advertising, products or other materials or availability from such websites or resources.
18.3 You acknowledge and agree that if you rely on the availability of the above-mentioned external websites or resources, or that because you rely on the completeness, accuracy of any advertising, products or other information on such websites or resources or that you obtain from such websites or resources, Green Impact Partners will not be responsible for any loss or damage suffered by you arising from the performance or existence of any above- mentioned information.
19. Changes to this Terms
19.1 Green Impact Partners may change the General Terms or Additional Terms at any time. Green Impact Partners will provide the latest version of the Terms of Service on its website when the above changes are made.
19.2 You understand and agree that if you use the Service in the future, you will be deemed to accept the updated Terms of Service.
20. General legal terms
20.1 When you use the Service, you may sometimes (as a result of or through this use) use services, download software, or purchase products provided by other people or companies. Your use of such other services, software or products shall be handled in accordance with the terms and conditions separately agreed between you and the relevant companies or people. This Terms do not affect the legal relationship between you and other companies or people.
20.2 This Terms constitutes the entire legal agreement between you and Green Impact Partners regarding your use of the Services (but excluding any services provided to you by Green Impact Partners under other written agreements), and completely supersede any prior agreements between you and Green Impact Partners regarding the Services.
20.3 You agree that Green Impact Partners may notify you any notices, including notices about changes to this Terms, by email, regular mail, or by posting on the Service.
20.4 You agree that the failure of Green Impact Partners to exercise or enforce any legal right or remedy contained in these Terms (or to which Green Impact Partners is entitled under any applicable law) shall not be deemed to be a formal waiver of Green Impact Partners’ rights. Impact Partners shall remain such rights or remedies.
20.5 If any provision of this Terms is judged to be invalid by any court having jurisdiction, such provision will be deleted from this Terms and will not affect the other parts of this Terms, which will continue to be valid and enforceable.
20.6 You acknowledge and agree that each member of the group of companies with Green Impact Partners as the parent company shall be a third party beneficial to this Terms, and such other companies shall have the right to directly enforce and rely on this Terms conferring benefits (or rights) upon. any regulations. Except for this, no other person or company is a third party with the benefit of this Terms.
20.7 This Terms and the relationship between you and Green Impact Partners under this Terms shall be governed by the relevant laws and regulations of the place where Green Impact Partners is registered and all international practices in the use of the Internet. You agree and guarantee that you shall not use this Service to infringe any third party’s rights or have illegal conduct. You and Green Impact Partners both agree that any disputes arising from this Terms shall be governed by the court where Green Impact Partners is registered.
